Service Agreement and Terms of Use
The core agreement between us and the entrepreneurs who use the Bilgi Ticareti platform.
1. Parties and subject matter
This agreement governs the terms of use of the Bilgi Ticareti software service (the “Platform”) between Vista AI Technology LLC, a company incorporated in Delaware, United States (8 The Green, Suite A, Dover, DE 19901, USA) (“Bilgi Ticareti,” “we”), and the natural person or legal entity who opens an account on bilgiticareti.com (the “Entrepreneur,” “you”). By opening an account or using the Platform, you accept these terms.
2. Definitions
- Platform: the online software service consisting of pages, courses, email, webinars, appointments, analytics, and AI tools.
- Customer / Student: the people to whom the Entrepreneur sells products or from whom the Entrepreneur takes registrations through the Platform.
- Content: all text, images, video, courses, and data that the Entrepreneur uploads, creates, or has created with AI tools.
- Credit: the unit used for AI jobs, either included with a plan or purchased as a package.
3. Nature of the service
Bilgi Ticareti is a software service provider. It is not the seller, provider, or a party to the products and services that the Entrepreneur sells to its Customers. Obligations arising from sales, performance, invoicing, refunds, and consumer law between the Entrepreneur and its Customers belong to the Entrepreneur.
Bilgi Ticareti does not collect, hold, or transfer Customer payments. Card payments are made through the Entrepreneur’s own payment institution account (e.g., iyzico, PayTR), and bank transfers are made directly to the Entrepreneur’s account. The relationship between the payment institution and the Entrepreneur is subject to that institution’s terms.
4. Account and security
- You must provide accurate and up-to-date information when opening an account. People under 18 cannot open an account.
- You are responsible for your password and for the actions of the team members you add to your account.
- If you suspect unauthorized access, you must notify us immediately.
5. Trial, plans, and credits
The scope and prices of the trial account and plans, and the credit rules, are set out on the pricing page and in the Subscription, Payment and Refund Terms, which form part of this agreement.
6. The Entrepreneur’s obligations
- You are responsible for describing the products and services you sell accurately, for fulfilling your promises, and for complying with the applicable legislation (consumer protection, e-commerce, tax, KVKK (Turkish Personal Data Protection Law No. 6698), commercial electronic messages).
- You must comply with the Acceptable Use Policy.
- You are the data controller for your Customers’ personal data; the Data Processing Agreement applies to that data.
- You must enter your real and current identity information under Settings › Legal.
7. Content and intellectual property
All rights in your Content remain with you. You grant us a worldwide, non-exclusive, royalty-free license to use it only to the extent necessary for us to provide the Platform to you (hosting, backup, display, processing); this license ends when you delete your Content or your account is closed.
The Platform’s software, design, templates, brand, and documentation belong to Vista AI Technology LLC. You may freely use the pages and content you create with the Platform for your own business; you may not copy, reverse engineer, or resell the Platform itself.
8. AI tools
The use of AI-generated output is subject to the AI Services Terms. It is your responsibility to review the output before you publish it.
9. Service continuity and changes
We make reasonable efforts to provide the Platform without interruption; however, interruptions may occur due to maintenance, failures at third-party infrastructure providers, or force majeure. We may improve, change, or remove features; we will give at least 30 days’ notice of any change that adversely affects the core scope of your subscription.
10. Limitation of liability
To the maximum extent permitted by law: the Platform is provided “as is”; we are not responsible for indirect damages, loss of profit or data, disputes between the Entrepreneur and its Customers, or third-party services (payment institutions, social networks, AI providers). Our total liability is limited to the subscription fees you paid us in the 12 months preceding the event giving rise to the damage. These limitations do not apply in cases of intent or gross negligence, or where mandatory provisions apply against consumers.
11. Suspension and termination
You may cancel your subscription at any time. In the event of a material breach of this agreement or the Acceptable Use Policy, non-payment, or unlawful use, we may suspend your account or terminate the agreement; where possible, we will first give written notice and a reasonable period of time.
Within 30 days after your account is closed, you may request an export of your data from the support team; at the end of this period, your data is deleted or anonymized, except for data that must be retained by law.
12. Notices
Notices to you will be sent to the email address on your account or delivered within the dashboard. You can send your notices to us at destek@bilgiticareti.com.
13. Governing law and disputes
This agreement is governed by the laws of the Republic of Türkiye. The courts and enforcement offices of Antalya have jurisdiction over disputes. Where you act as a consumer, your right to apply, within the monetary limits, to the Consumer Arbitration Committee or the Consumer Court at your place of residence is reserved.
14. Effective date
We may update these terms. We will notify you of material changes by email at least 30 days before they take effect. If you continue to use the Platform after a change, you are deemed to have accepted the new terms.
